Liyo User Agreement

This Agreement is a legally binding contract between you ("User") and LiyoVault ("Service Provider"). It governs all legal relationships arising from your access to and use of the Liyo application and its associated services ("Services"). By using the Services, you confirm that you have read, understood, and agreed to all terms herein. If you disagree with any term, you must cease using the Services immediately.

1. Liability Limitations — What the Service Provider Isn’t Responsible For

1-1 Scope of Liability Exclusion

· To the maximum extent permitted by law, the Service Provider shall not be liable for direct, indirect, incidental, consequential, or punitive damages (including but not limited to lost profits, data loss, or business disruption) caused by:

· Your use or inability to use the Services;

· Errors, omissions, or interruptions in the Services;

· Unauthorized access to your account due to your negligence;

· Third-party actions that affect the Services.

1-2 Cap on Liability

The total liability of the Service Provider to you for any claims related to the Services shall not exceed the amount you paid to the Service Provider for using the Services in the 12 months prior to the claim. If you have not paid any fees, the Service Provider’s liability shall be limited to the minimum legal requirement.

2. User Eligibility & Account Rules — Who Can Use Liyo and How to Manage Accounts

2-1 Eligibility Criteria

· Age Requirement: You must be at least 17 years old. Minors under 17 are strictly prohibited from creating accounts or using any features of the Services.

· Legal Capacity: You must have the legal capacity to enter into this Agreement (e.g., if you are a minor over 17 but under the age of majority in your jurisdiction, you need consent from your legal guardian).

2-2 Account Management Obligations

· Registration Information: Provide true, accurate, and up-to-date information when signing up. The Service Provider may verify this information and suspend/terminate accounts with false or outdated details.

· Credential Security: You are solely responsible for keeping your account username and password confidential. Do not share credentials with others — any activity under your account (including unauthorized use) is your responsibility.

· Security Alerts: If you find unauthorized account access or security risks, notify the Service Provider immediately. The Service Provider is not liable for losses caused by your failure to do so.

3. Service Use Rules — How to Use Liyo Legally

3-1 Permitted Use

The Services are for personal, non-commercial use only. You may use the Services to access features, submit User-Generated Content, and interact with other authorized Users — but only in compliance with applicable laws and this Agreement.

3-2 Prohibited Behaviors

You shall NOT engage in any of the following:

· Violate laws (e.g., spreading content that endangers national security or violates public morality);

· Infringe third-party rights (e.g., stealing intellectual property, disclosing others’ privacy);

· Disrupt Service operations (e.g., sending malware, launching DDoS attacks, spamming);

· Bypass security measures (e.g., using plug-ins to modify Service functions or access non-public data);

· Use the Services for commercial purposes (e.g., selling goods, charging for access) without written permission.

4. Agreement Basics — Nature & Updates

4-1 Legal Effect

This Agreement takes effect when you first use the Services and remains valid until terminated. Your use of the Services (including downloading the app, registering an account, or browsing content) counts as acceptance of this Agreement.

4-2 Revision Rights

· The Service Provider may revise this Agreement due to business changes, legal updates, or technical adjustments.

· Revised terms will be posted in the Services or sent to your registered email. If you continue using the Services 7 days after the revision is announced, you are deemed to accept the updated Agreement.

· If you disagree with the revision, stop using the Services immediately — no further obligations will apply after cessation.

5. Privacy & Data Protection — How Your Information Is Handled

5-1 Privacy Policy Application

Your use of the Services is governed by the Service Provider’s [Privacy Policy]. This policy details:

· What personal data is collected (e.g., email, usage records);

· How data is used (e.g., improving Services, sending notifications);

· How data is protected (e.g., encryption, access controls).

By using the Services, you consent to the data practices in the Privacy Policy.

5-2 Data Security Notes

The Service Provider uses reasonable security measures to protect your data, but no online system is 100% secure. You acknowledge and accept risks like data breaches caused by factors beyond the Service Provider’s control (e.g., hacker attacks, network failures).

6. Intellectual Property — Who Owns Content in Liyo

6-1 Service Provider’s Intellectual Property

All trademarks, logos, text, images, software, and other content in the Services are owned by the Service Provider or its licensors. You may not:

· Claim ownership of this content;

· Copy, modify, or distribute it without written permission.

6-2 User-Generated Content License

When you submit content (e.g., photos, comments, videos) to the Services, you grant the Service Provider a worldwide, royalty-free, non-exclusive license to:

· Use, reproduce, and adapt the content;

· Promote and distribute the content for Service operations (e.g., featuring it in updates).

You retain ownership of your content but must ensure it does not infringe third-party rights.

7. Agreement Termination — When Access Ends

7-1 Termination by You

You may terminate this Agreement at any time by:

· Uninstalling the Liyo app;

· Stopping all use of the Services.

7-2 Termination by the Service Provider

The Service Provider may suspend or terminate your access to the Services without prior notice if:

· You violate this Agreement or applicable laws;

· Your account has been inactive for 12 consecutive months;

· The Services are discontinued for legal or business reasons.

7-3 Post-Termination Rules

After termination:

· You must stop using the Services immediately;

· Provisions on liability limitations, intellectual property, and dispute resolution remain valid.

8. Dispute Resolution — How to Settle Conflicts

8-1 Governing Law

This Agreement is governed by the laws of the jurisdiction where the Service Provider is registered.

8-2 Resolution Process

· Negotiation: First, resolve disputes through friendly negotiation within 30 days of the conflict arising.

· Arbitration: If negotiation fails, submit the dispute to the arbitration institution in the Service Provider’s place of registration. The arbitral award is final and binding on both parties.
